Every filing the Ministry of Corporate Affairs accepts is signed. Company incorporation, annual returns, charge creation, director appointments and DIR-3 KYC all require a Digital Signature Certificate registered against the person signing — and MCA is unusually strict about the name on it matching.

Which certificate MCA filings need
Class 3 signing is what MCA work requires. You do not need the encryption combo unless you also bid on tenders — that is a separate requirement.
Certificates are issued for one, two or three years. For a director who will be filing DIR-3 KYC every year and signing annual returns, the longer validity is usually the sensible purchase: it costs less per year and removes an annual renewal scramble.
Who needs one
- Directors — for DIR-3 KYC, DIN applications, appointment and resignation forms, and signing annual filings.
- Designated partners of an LLP — for LLP incorporation and annual returns.
- Authorised signatories — for forms filed on behalf of the company.
- Practising professionals — company secretaries, chartered accountants and cost accountants certifying filings need their own certificate, tied to their membership number.
A certificate always belongs to a person. There is no company certificate with nobody’s name on it.
The name on the certificate must match
This is the single largest cause of rejected MCA registrations, and it is worth being pedantic about before you apply.
The name on the Digital Signature Certificate has to match the name held against your DIN or PAN on the MCA portal — including initials, expansions and the order of given and family names. “R. K. Sharma” on the certificate and “Rajesh Kumar Sharma” on the DIN record will not associate.
Check your existing MCA record first, then apply for the certificate in exactly that name. Fixing it afterwards means reissuing the certificate.
Documents required
For an Indian director or professional:
- Completed application form for the Certifying Authority
- PAN card — mandatory, and the name must match the application
- Address proof: Aadhaar, passport, voter ID, driving licence, or a recent utility bill or bank statement
- Recent passport-size photograph
- Mobile number and email address that you control
- Identity verification at the time of application — for VSign this is a face verification on your phone
Foreign directors follow a different route, built on passport and attestation rather than PAN and Aadhaar. The documents and process guide sets that out in full, including which attestation is acceptable from where.
Associating your DSC on the MCA portal
Issuing the certificate is not the end of it. MCA needs the certificate associated with your user account before any form will accept it.
- Install the driver for your USB token and plug the token in.
- Log in to the MCA portal with the account that will file.
- Open the DSC association or registration option in your profile.
- Choose your role — director, professional, or authorised signatory. The professional route asks for your membership number.
- Select the certificate when prompted and confirm.
Do this the day the certificate is issued, not the day the form is due. If the name does not match, you want to discover it with time to act.
DIR-3 KYC and the annual deadline
Every director holding a DIN has to file DIR-3 KYC each year, signed with their own certificate. Two things catch people out:
- The DIN is deactivated if you miss it, and reactivation carries a penalty. A director with a deactivated DIN cannot sign other filings either, so one missed KYC can stall the whole company’s compliance.
- An expired certificate cannot sign it. Certificates expire on a fixed date regardless of use. If your certificate lapsed since last year’s KYC, you need a new one issued before you can file — and that is not instant.

When MCA will not accept your certificate
- Name mismatch against the DIN or PAN record. The most common, and it cannot be worked around.
- Certificate not associated with the account being used to file.
- Certificate expired. No grace period.
- Token driver missing, so the browser cannot see the certificate at all. Drivers are on the downloads page.
- Browser or Java configuration. MCA’s signing component needs the site trusted and the plugin allowed; the browser configuration guide covers it.
- DIN deactivated for a missed KYC, which blocks signing regardless of the certificate.
It has to be on a FIPS token
Class 3 certificates are issued onto a FIPS 140-2 or 140-3 certified USB token, and cannot be copied off it. If you already hold a working token with a spare slot, a new certificate can often go onto the same device — see the USB token guide.
